1. Acceptance of Terms
By accessing or using the Timegap.ai platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use the Service.
These Terms apply to all visitors, users, healthcare providers, and others who access or use the Service. By using the Service, you represent that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.
2. Description of Service
Timegap.ai provides patient engagement and follow-up automation software designed specifically for healthcare practices. Our Service helps healthcare providers reduce missed appointments, improve patient retention, and streamline patient communications.
The Service is designed for use by licensed healthcare providers and their authorized staff. Features, functionality, and service offerings may be updated, modified, or discontinued at any time without prior notice.
3. Account Registration
To access certain features of the Service, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain only one account per healthcare practice or entity
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4. User Responsibilities
As a user of the Service, you are responsible for:
- Complying with all applicable federal, state, and local laws and regulations, including but not limited to HIPAA, HITECH, and other healthcare privacy laws
- Obtaining and maintaining any necessary Business Associate Agreements (BAAs) when handling Protected Health Information (PHI)
- Ensuring all patient communications sent through the Service comply with applicable consent requirements
- Maintaining appropriate administrative, physical, and technical safeguards for patient data
- Training your staff on proper use of the Service in compliance with privacy regulations
- Using the Service only for lawful purposes related to your healthcare practice
5. Prohibited Uses
You agree not to use the Service to:
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Transmit viruses, malware, or other harmful code
- Harvest, collect, or scrape user data without authorization
- Impersonate any person or entity, or falsely represent your affiliation
- Send spam, unsolicited messages, or communications that violate CAN-SPAM or TCPA
- Violate any healthcare regulations, including HIPAA privacy and security rules
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems or software to extract data from the Service
- Sell, resell, or commercially exploit the Service without authorization
- Use the Service for any fraudulent or deceptive purpose
6. Intellectual Property
The Service, including all content, features, and functionality, is owned by Timegap.ai Ltd and is protected by copyright, trademark, patent, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal healthcare practice operations.
No rights or licenses are granted except as explicitly stated in these Terms. You retain ownership of any content, data, or information you submit to the Service ("User Content"), subject to the license you grant us to provide the Service.
7. Healthcare Compliance
Timegap.ai is designed to support healthcare providers in maintaining compliance with applicable healthcare regulations. However, you remain solely responsible for your own compliance obligations.
- HIPAA Compliance: If you are a Covered Entity or Business Associate under HIPAA, you must enter into a Business Associate Agreement (BAA) with us before transmitting any PHI through the Service.
- Patient Consent: You are responsible for obtaining appropriate patient consent for communications sent through the Service.
- Data Security: While we implement industry-standard security measures, you must maintain appropriate safeguards within your practice.
8. Service Availability
The Service is provided on an "as available" basis. While we strive for high availability, we do not guarantee uninterrupted access to the Service.
- Scheduled maintenance windows will be communicated in advance when possible
- Emergency maintenance may occur without prior notice
- Specific uptime guarantees, if any, are set forth in your separate service agreement
- We are not liable for any interruption or delay in the Service
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL TIMEGAP TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE CAUSE OF ACTION OR THE BASIS OF THE CLAIM.
OUR MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify, defend, and hold harmless Timegap.ai Ltd and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including patient privacy rights
11. Termination
Either party may terminate this agreement at any time. You may stop using the Service at any time. We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination:
- Your right to use the Service will immediately cease
- We will provide you with access to export your data for a reasonable period (typically 30 days)
- We may delete your data after the export period, except as required by law
- Provisions that by their nature should survive termination shall survive (including Sections 6, 9, 10, 13, and 14)
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website.
For material changes, we will provide notice through the Service or via email to the address associated with your account. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes arising out of or relating to these Terms or the Service.
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.
14. Dispute Resolution
Before initiating any formal dispute resolution, you agree to first contact us at info@timegap.ai to attempt to resolve the dispute informally.
If informal resolution is unsuccessful within 30 days, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
YOU AND TIMEGAP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
Any invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
16. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable Business Associate Agreement, constitute the entire agreement between you and Timegap.ai Ltd regarding the Service.
These Terms supersede all prior agreements, understandings, and communications between the parties, whether written or oral, regarding the subject matter hereof.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
